What is Grey Market and GMP?
Grey Market is an unofficial market for Pre-IPO trading where investors can buy and sell IPO applications or shares before the official listing on stock exchanges. This market operates outside the regulatory framework of stock exchanges and is based on trust and word-of-mouth communication.
Key Terms Explained
GMP (Grey Market Premium)
The premium per share that investors are willing to pay above the IPO issue price. Higher GMP indicates strong market sentiment and potential listing gains.
Kostak
The premium per application that dealers pay to investors for their IPO application form, regardless of allotment. This is paid upfront when you sell your application.
Subject to (Sub2) Sauda
The premium paid for an IPO application only if shares are allotted. The transaction is conditional on successful allotment in the IPO.
Estimated Listing Price
Calculated by adding GMP to the IPO issue price (usually midpoint of price band). This gives an estimated price at which shares might list.

What do you mean by "Seller Only" in GMP?
GMP Seller Only means there are sellers in the grey market but no buyers willing to purchase at that price. This situation is similar to a lower circuit in stock markets where there are sellers but no buyers. This can be caused by low IPO subscription, overselling, or negative market sentiment. It may indicate that the listing could be at par or below the GMP price. Consider this as a negative signal, though the situation may change before listing day. Always check company fundamentals before making investment decisions.
What is "Buyer Only" in GMP?
For every seller, there must be a buyer in the market. The same principle applies to the grey market. However, sometimes there are only buyers and no sellers. In stock markets, this is called the upper circuit. Similarly, in the grey market, if no investor is willing to sell their IPO application, it creates a "buyer only" situation. This typically happens when investors expect better returns on listing day or want to hold shares long-term. Consider this as a positive signal indicating strong demand.
Why am I not getting SME IPO Allotment?
This is a growing concern for many SME IPO investors. Even after applying to multiple SME IPOs, you might not receive a single allotment. Here's why:
SME IPOs have unique characteristics:
- Small issue size: SME IPOs typically have much smaller issue sizes (e.g., ₹20 Cr) compared to mainboard IPOs
- Large lot sizes: SME IPOs often have larger lot sizes (e.g., 1200 shares) requiring higher investment per application
- Limited allottees: With small issue sizes and large lot sizes, the number of successful allottees is very limited
Example: For a ₹20 Cr SME IPO with 50% retail quota, lot size of 1200 shares at ₹100/share, only about 833 retail applications can be selected. This is significantly lower than mainboard IPOs. Additionally, oversubscription rates further reduce the probability of allotment. In contrast, mainboard IPOs have larger issue sizes and smaller lot sizes, resulting in many more allottees.
