National Securities Depository Limited (NSDL) was established in August 1996 as India's first electronic securities depository with national coverage, following the Depositories Act, 1995. It is headquartered in Mumbai and works as a SEBI-registered Market Infrastructure Institution (MII) in the securities depository sector.
The company maintains electronic records of securities ownership and allotment, and provides depository services including dematerialisation, trade settlement, off-market transfers, pledging of securities and corporate actions, along with asset servicing, e-voting and consolidated account statements. It operates through subsidiaries NSDL Database Management Limited (NDML), which offers e-governance, KYC, insurance repository and SEZ automation services, and NSDL Payments Bank Limited (NPBL), a business-to-business payments bank. As of FY25, NSDL held the largest share among Indian depositories by number of issuers, active instruments and value of assets held under custody. It is led by Vijay Chandok as Managing Director and CEO, and its shareholders include IDBI Bank, NSE, HDFC Bank and SUUTI.
Total revenue stood at about Rs 1,420 crore in FY25, of which NPBL contributed Rs 719.93 crore, or 50.69%. This was a mainboard IPO comprising entirely an offer for sale of equity shares of face value Rs 2 each by existing shareholders including NSE, IDBI Bank, State Bank of India and HDFC Bank, aggregating to about Rs 4,012 crore, with no fresh issue component. The equity shares were listed on the BSE in August 2025.
