Tata Capital Limited was incorporated in 2007 and is headquartered in Mumbai, Maharashtra. It works as a non-banking financial company (NBFC), operating as the flagship financial services arm of the Tata Group.
The company is the third-largest diversified NBFC in India by total gross loans, offering more than 25 lending products spanning retail, corporate and institutional customers across sectors including consumer finance, home loans, vehicle finance, SME lending and green financing. It reaches customers through a network of 1,496 branches across 1,102 locations, supplemented by over 30,000 direct selling agents, 400 OEM partnerships, 8,000 dealers and more than 60 digital partners. Its clean energy lending book, financing over 500 renewable projects, had crossed Rs 18,000 crore by FY25. The promoter is Tata Sons Private Limited, which held about 93% of the company before the offer.
Revenue from core operations rose to Rs 28,312.74 crore in FY25, with net profit increasing to Rs 3,664.66 crore in FY25 from Rs 3,150.21 crore in FY24 and Rs 3,029.20 crore in FY23, as per the DRHP. The IPO was a mainboard book-built issue of about Rs 15,512 crore on the NSE and BSE, comprising a fresh issue of up to 21 crore equity shares and an offer for sale of up to 26.58 crore equity shares by Tata Sons Private Limited (up to 23 crore shares) and the International Finance Corporation (up to 3.58 crore shares), priced at Rs 326 per share. Net proceeds from the fresh issue were earmarked for augmentation of the company's Tier-I capital base to meet future capital requirements, including onward lending.
