SEBI Clears Jio Platforms IPO

SEBI Clears Jio Platforms IPO

SEBI has issued its observation letter for Jio Platforms' IPO on August 28, 2026 clearing the path for what could become India's largest-ever stock market debut. The Reliance Industries subsidiary plans to raise around $3.8 billion through a 100% fresh issue of 27 crore shares, with no OFS component.

India's most-awaited IPO just crossed a major hurdle. Jio Platforms, a subsidiary of Reliance Industries, has received an observation letter from SEBI for its Draft Red Herring Prospectus on August 28, 2026. In market language, this means SEBI has cleared the IPO to move forward and Dalal Street is now one big step closer to listing the country's largest telecom and digital services company.
Mukesh Ambani described the proposed listing as an "emotional moment" and said it reflected RIL's commitment to creating value for shareholders. The DRHP was filed on June 19 the same day Ambani announced the IPO at Reliance Industries' 49th Annual General Meeting.

What the IPO Looks Like

The IPO comprises a fresh issue of up to 27 crore equity shares of face value ₹10 each, with no Offer for Sale component meaning every rupee raised goes into Jio's business rather than to selling shareholders.

The company plans to issue up to 27 crore fresh equity shares, equivalent to about 2.9 per cent of its post-issue equity base. Market estimates put the total fundraise at around $3.8 billion, which would make this one of the largest IPOs in Indian history eclipsing Hyundai Motor India's $3.3 billion listing from 2024.

Where Does the Money Go?

About ₹27,500 crore is earmarked for repayment or prepayment of borrowings at its material subsidiary Reliance Jio Infocomm, and the balance for network expansion, AI infrastructure, digital services, and general corporate purposes.

A Business Built at Extraordinary Scale

As of July-end, the company had more than 53.5 crore subscribers, making it the world's second-largest single-country mobile operator by subscriber count after China Mobile. Jio also has the largest 5G Standalone network outside China, with 26.85 crore 5G customers as of June 2026, and leads the Fixed Wireless Access segment globally with about 1.5 crore subscribers.

On the financial side, Jio Platforms reported a consolidated profit of ₹7,764 crore in Q1 FY27, up 9.2% year-on-year. Operating revenue rose 11.8% YoY to ₹39,173 crore.

In the pipeline are new products like JioFrames AI smart glasses and JioPC a cloud-based computer that streams to any TV both aimed at bridging India's digital device gap.

Special Quota for RIL Shareholders

One detail that retail investors holding Reliance Industries shares will want to note existing Reliance Industries retail shareholders will receive a dedicated shareholder quota in the Jio IPO. The IPO record date for this category is yet to be announced.

What Happens Next

The observation letter represents an important step in the IPO process, but SEBI's observations do not by themselves mean that the IPO has been launched or that the issue dates and price have been finalised. Jio Platforms will still need to complete the subsequent regulatory and offer-document processes before the public issue opens for subscription.

Price band, lot size, and subscription dates are all still to be announced. But with SEBI's clearance now in hand, the countdown to what could be India's biggest-ever IPO has officially begun.
